After discussion, the two parties agree to sign the contract with the
following terms:
ARTICLE 1: Content in details
1.1 Party B has party A design a logo sample as a symbol for the company
( content of party B’s request for designing work in details enclosed)
1.2 Requirements for the logo sample, symbol:
The logo sample is created in a way to ensure in general the details stated
in par 1.1.
The aestheticism and originality of the logo must be ensured. The designed
logo will not resemble or be mixed up with other logos in the country
or in other countries around the world.
1.3 Implementation process:
Stage 1: Designing
Party A designs at most 10 drafts for a logo ( in black and white ), party
B selects 01 sample. In case party B cannot select any in the first designing
round. Party A will design anew ( 3 times at most )
Stage 2: Combining colors
Party A adjusts the selected sample according to party B’s desire
and combine the tones into 10 color samples based on the sample ( in black
and white ) selected by party B.
Stage 3: Completion
After the colors for the logo have been determined , party A will hand
over to party B a logo dossier consisting of:
A copy of the logo reduced in various sizes and color-printed by the computer
on an A4 sheet with Pantone color codes enclosed.
A black- and -white copy so that the customer can take photo negatives
of it for different purposes.
A black and white printed copy set over a checked net so that scales and
specifications are clearly defined.
A compact disk on which the logo sample is saved
ARTICLE 2: Responsibilities of the two parties
* Responsibilities of party A:
- Be responsible for designing a totally new logo, without any resemblance
to other logos.
* Responsibilities of party B:
- Right after receiving the logo dossier from party A, party B must proceed
with the copyright registration for the logo.
- Be responsible for using the logo in line with its purposes, without
violating the Socialist Republic of Vietnam’s law.
ARTICLE 3: Quantity- Price – Terms of payment
Quantity: 01 sample of a fully worked out logo
Unit price: VND 3,000,000 / sample
Total amount: VND3,000,000 + VAT ( 10% ) VND 300,000 = VND 3,300,000
Total value of the contract: VND 3.300,000
( In words: Three million and Three hundred thousand dong )
Terms of payment: Party B pays to party A 100% of the total value of the
contract in cash right after the signing of the contract. Party A will
make out an invoice including VAT to party B after it finishes the logo
sample. In case after three times of designing, the logo still cannot
meet party B’s requests, party A will refund to party B 50% of the
total value of the contract.
ARTICLE 4: Implementation and delivery period
The designed sample will be completed within 10 days after the signing
of the contract.
The period of the sample adjustment is five days for each adjustment after
the date the sample is released.
ARTICLE 5: General conditions
Both parties pledge to strictly carry out all the above-mentioned articles.
If any obstacle arises, the two parties will discuss to come to an agreement
and settle it together. If a settlement cannot be reached, both parties
agree to refer the case to a competent Vietnamese Economic court in Ho
Chi Minh City for settlement. The court’s ruling will be final and
binding for both parties. Any expense or damage arising from the dispute
will be borne by the faulty.
This contract is made in 4 copies of equal value. Each party keeps 02
copies.
